RP Resource Client Terms Summary
This page provides a high-level summary of how we operate. It is not a legal agreement. Full commercial terms are provided to clients upon engagement.
1. Our Role
RP Resource provides a platform for engaging independent professionals (typically operating through their own limited companies or PSCs). We:
– Facilitate onboarding, contracts, and compliance checks
– Help manage Statements of Work, classification, and documentation
– Do not act as an employment agency or umbrella company
– Are not responsible for delivering services on behalf of the professional
2. Engagement Structure
Each engagement involves:
– A written Statement of Work or Participation Agreement
– Defined deliverables, timelines, and payment terms
– Contractor status classification (e.g. IR35 consideration)
– Oversight and documentation workflows via the platform
All contracts are business-to-business between the client and the professional’s company.
3. Client Responsibilities
Clients are responsible for:
– Providing accurate project scope and requirements
– Confirming role status (e.g. IR35) based on their working practices
– Ensuring appropriate access, approvals, and sign-off are available
– Reviewing and approving deliverables before payment is made
RP Resource provides tools and support — but final determinations remain the client’s legal responsibility.
4. Payment
Payments to professionals are made in line with agreed SOW milestones or timelines. RP Resource may support invoice generation but does not hold or process funds as a payroll provider. Clients are responsible for settling invoices issued under this structure.
5. Compliance
We maintain:
– Secure, audit-ready documentation
– Contractor verification and onboarding workflows
– Role-based templates aligned with UK legal guidance
– Optional escalation and review processes for complex roles
Clients agree to operate within the compliance guardrails provided and notify us of any changes in scope or role classification.
6. Liability & Disclaimers
RP Resource provides infrastructure and documentation support. We are not liable for:
– The performance or delivery of services by the contractor
– Any tax liabilities incurred due to misclassification of contractor status
– Any failure by a client or professional to meet their obligations
